Terms of Use

1. Definitions and Interpretation

1.1 Key Definitions

For the purposes of these Terms of Use ("Terms"), the following terms shall have the meanings set out below:

  • "Account" means a registered user profile created to access and use the RAVEON Platform.
  • "Admin" means authorized personnel or representatives of RAVEON responsible for managing, monitoring, and operating the Platform.
  • "Applicable Law" means all laws, regulations, statutes, and legal requirements in force within the Republic of Kenya and any other relevant jurisdiction.
  • "Booking" means a reservation made through the Platform for tables, private sections, events, or services within a Venue.
  • "Coins" means virtual, non-cash digital credits purchased or otherwise obtained within the Platform and used for transactions such as tipping, payments, or accessing services.
  • "Content" means any text, images, videos, audio, messages, posts, comments, or other materials uploaded, shared, or displayed on the Platform.
  • "Digital Pass" means an electronic access credential issued through the Platform granting entry to an event, venue, or restricted area.
  • "Group Payment" means a payment arrangement where multiple Users contribute to a shared bill or transaction.
  • "Platform" means the RAVEON mobile application, web application, APIs, and all related services, systems, and infrastructure operated by RAVEON.
  • "RAVEON," "we," "us," or "our" means the entity that owns and operates the Platform, including its affiliates, subsidiaries, and authorized agents.
  • "Service Provider" means any Venue, staff member, or third party offering goods or services through the Platform, including but not limited to waiters, DJs, hosts, and event organizers.
  • "Staff" means individuals associated with a Venue who provide services to Users via the Platform, including waiters, DJs, hosts, and support personnel.
  • "User," "you," or "your" means any individual who accesses or uses the Platform, whether as a guest, registered user, or participant in any service offered.
  • "Venue" means any nightclub, lounge, bar, event location, or entertainment establishment listed or integrated into the Platform.
  • "Wallet" means the digital account within the Platform used to store funds, Coins, or credits for transactions.
  • "Services" means all features and functionalities provided through the Platform, including but not limited to ordering, bookings, payments, tipping, social interactions, and event access.

1.2 Interpretation Rules

In these Terms, unless the context requires otherwise:

  • Headings are for convenience only and shall not affect the interpretation of these Terms.
  • Singular and Plural words shall include both singular and plural forms as applicable.
  • Gender references shall include all genders.
  • References to Sections refer to sections within these Terms unless otherwise stated.
  • "Including" and similar expressions shall be interpreted as "including without limitation."
  • References to Laws include any amendments, re-enactments, or replacements of such laws.
  • Electronic Form references include digital, mobile, and web-based interactions conducted through the Platform.
  • Conflict of Interpretation: in the event of any ambiguity or conflict, the interpretation that best reflects the intent of maintaining Platform security, compliance, and operational integrity shall prevail.

2. Acceptance of Terms

2.1 Binding Agreement

By accessing, registering for, or using the RAVEON Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any additional policies referenced herein, including the Privacy Policy. These Terms constitute a legally binding agreement between you and RAVEON governing your access to and use of the Platform and Services. If you do not agree to these Terms, you must not access or use the Platform.

2.2 Updates to Terms

RAVEON reserves the right to modify, update, or replace these Terms at any time, at its sole discretion. Any changes will be effective immediately upon posting on the Platform, unless otherwise stated. Where required by Applicable Law, we will provide reasonable notice of material changes through in-app notifications, email, or other appropriate means. Your continued use of the Platform after such updates constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically to stay informed of any changes.

2.3 Additional Terms and Policies

Certain features or Services offered on the Platform may be subject to additional terms, guidelines, or policies. Such additional terms shall form part of these Terms by reference. In the event of any conflict between these Terms and specific service terms, the specific terms shall prevail for that particular Service.

2.4 Electronic Acceptance

You agree that your use of the Platform constitutes electronic acceptance of these Terms. Electronic records and agreements have the same legal effect as physical, written agreements under Applicable Law.

2.5 Authority to Accept Terms

By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into this agreement. If you are using the Platform on behalf of an entity (e.g., a Venue or organization), you are authorized to bind that entity to these Terms.

3. Eligibility and User Accounts

3.1 Age Requirements

Access to and use of the Platform is restricted to individuals who meet the legal age requirements under Applicable Law. You must be at least 18 years of age, or the legal age for entry into nightlife venues and consumption of alcohol in your jurisdiction, whichever is higher. RAVEON reserves the right to request proof of age at any time. Users found to be underage may have their Accounts suspended or terminated immediately.

3.2 Account Registration

To access certain features of the Platform, you are required to create an Account. By registering, you agree to provide accurate, complete, and up-to-date information; maintain and promptly update your Account information as necessary; and not create multiple Accounts for fraudulent or abusive purposes. RAVEON may use phone number verification, email verification, or other authentication mechanisms to validate your Account.

3.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including passwords, PINs, and verification codes. You agree not to share your login credentials with any third party; to notify RAVEON immediately of any unauthorized access or suspected breach; and to accept full responsibility for all activities conducted through your Account. RAVEON shall not be liable for any loss or damage arising from unauthorized use of your Account due to your failure to secure your credentials.

3.4 Account Verification (KYC and Compliance)

RAVEON may require identity verification ("Know Your Customer" or KYC) for certain features, including Wallet usage and financial transactions, high-value purchases or withdrawals, and access to restricted events or services. Failure to complete required verification may result in restricted access to certain features, temporary suspension of transactions, or Account suspension or termination.

3.5 Account Types and Roles

The Platform supports different Account types, including User Accounts (for individuals accessing services, bookings, and social features), Venue Accounts (for clubs, lounges, and event organizers), Staff Accounts (for waiters, DJs, hosts, and service personnel), and Admin Accounts (for internal platform management). Each Account type is subject to role-based permissions and responsibilities as defined by the Platform.

3.6 Account Suspension and Restrictions

RAVEON reserves the right to restrict, suspend, or terminate any Account where information provided is false or misleading, there is suspected fraud, abuse, or illegal activity, or there is a breach of these Terms. Such actions may be taken without prior notice where necessary to protect the Platform, Users, or third parties.

4. Platform Services Overview

4.1 Core Platform Features

RAVEON provides a digital platform that enhances nightlife and entertainment experiences through integrated technology services. Subject to these Terms, Users may access features including:

  • Digital check-in to participating Venues and events
  • Ordering of food, drinks, and in-venue services
  • Table bookings and reservations
  • Wallet-based payments and in-app transactions
  • Purchase and use of Coins for services and tipping
  • Song requests and interaction with DJs
  • Participation in live event feeds and social engagement
  • Loyalty rewards and promotional benefits

4.2 Multi-Venue Access

The Platform supports access to multiple Venues and events across different locations. Users may interact with multiple Venues using a single Account. Availability of features may vary depending on the Venue. Each Venue operates independently and may have its own rules, pricing, and service standards. RAVEON does not guarantee uniform service quality across all Venues.

4.3 Role-Based Access and Permissions

Access to Platform features is governed by role-based permissions. Users have access to ordering, bookings, payments, and social features. Venues have access to dashboards for managing services, pricing, bookings, and analytics. Staff have access to service requests, order management, and earnings (including tips). Admins have full system oversight, moderation, and operational controls.

4.4 Third-Party Service Integration

The Platform may integrate with third-party systems and providers, including payment processors, identity verification services, event organizers, and external APIs. Use of such third-party services may be subject to their respective terms and conditions. RAVEON does not control and is not responsible for third-party services.

4.5 Service Availability and Limitations

RAVEON aims to provide reliable and continuous access to the Platform; however, services may be unavailable due to maintenance, upgrades, or technical issues. Certain features may be limited based on location, Venue participation, or device compatibility. RAVEON does not guarantee uninterrupted or error-free operation of the Platform.

4.6 Platform as an Intermediary

RAVEON acts as a technology intermediary that facilitates interactions between Users, Venues, and Service Providers. RAVEON does not own, operate, or control Venues. RAVEON does not directly provide food, beverages, or physical services. Responsibility for service delivery lies with the respective Venue or Service Provider.

5. User Conduct and Responsibilities

5.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms, in a responsible and respectful manner, in compliance with all Applicable Laws and venue-specific rules, and providing accurate information when using Services.

5.2 In-Venue Conduct

When using the Platform within a Venue or event, you agree to follow all rules, policies, and instructions set by the Venue; behave in a respectful and non-disruptive manner; comply with safety, security, and alcohol consumption regulations; and accept that Venue staff have authority over in-person service delivery and access control.

5.3 Responsible Use of Services

You agree to place orders and bookings in good faith, honor payment obligations including shared/group payments, use tipping and Coins responsibly without manipulation or abuse, and avoid misuse of features such as fake requests, spam interactions, or system abuse.

5.4 User Interactions and Social Features

You agree not to harass, threaten, or abuse other Users; not to send unsolicited, inappropriate, or harmful content; and to respect the privacy and personal boundaries of others. RAVEON does not guarantee the behavior of other Users and is not liable for user-to-user interactions, but reserves the right to moderate and take action where necessary.

5.5 Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all Applicable Laws, including alcohol consumption laws, public conduct regulations, financial transaction regulations, and data and privacy laws. Any illegal activity conducted through the Platform may be reported to relevant authorities.

5.6 Prohibited Misuse of the Platform

  • Attempt to gain unauthorized access to the Platform or other Accounts
  • Interfere with or disrupt the Platform's systems, servers, or networks
  • Use automated systems (bots, scripts) to exploit the Platform
  • Engage in fraudulent activities, including payment fraud or identity misrepresentation
  • Reverse engineer, copy, or exploit any part of the Platform without authorization

5.7 Reporting Violations

Users may report misconduct, abuse, or violations through designated support or reporting channels within the Platform. RAVEON reserves the right to investigate reported incidents, take appropriate action including warnings, suspensions, or account termination, and cooperate with law enforcement where required.

6. Venue and Service Provider Responsibilities

6.1 Venue Obligations

Venues listed on the Platform are independent entities responsible for delivering physical services to Users. By using RAVEON, each Venue agrees to provide accurate and up-to-date information on services, pricing, availability, and policies; honor confirmed Bookings, orders, and Digital Passes; maintain required licenses, permits, and regulatory compliance; and ensure a safe, lawful, and operational environment for Users.

6.2 Staff Responsibilities

Staff using the Platform are responsible for responding to service requests in a timely and professional manner, delivering services as requested through the Platform, acting in accordance with Venue policies and Applicable Law, and maintaining respectful and appropriate conduct toward Users. Staff must not solicit unauthorized payments outside the Platform, misuse tipping or reward systems, or engage in fraudulent or abusive behavior.

6.3 Service Fulfillment and Accuracy

Venues and Service Providers are solely responsible for fulfilling orders placed through the Platform, ensuring accuracy of items, pricing, and service delivery, and managing delays, substitutions, or service issues directly with Users. RAVEON acts only as a facilitator and is not liable for service failures, delays, or errors by Venues or Staff.

6.4 Pricing and Fees

Venues are responsible for setting and displaying correct pricing for all goods and services, clearly communicating any additional charges or minimum spend requirements, and ensuring pricing transparency before Users confirm transactions. RAVEON may apply platform fees or commissions as agreed with Venues.

6.5 Bookings and Reservations Management

Venues must honor confirmed Bookings and reservations made through the Platform, clearly define booking conditions including deposits and cancellation policies, and manage capacity and avoid overbooking. Failure to honor Bookings may result in penalties, refunds, or removal from the Platform.

6.6 Compliance and Legal Responsibility

Venues and Service Providers are solely responsible for compliance with health, safety, and licensing regulations; enforcement of age restrictions and alcohol service laws; and handling disputes arising from in-person services. RAVEON shall not be liable for violations of law by Venues or their Staff.

6.7 Suspension and Removal of Venues or Providers

RAVEON reserves the right to suspend, restrict, or remove any Venue or Service Provider from the Platform where there is breach of these Terms, repeated service failures or user complaints, or evidence of fraud, illegal activity, or misconduct. Such actions may be taken without prior notice where necessary to protect Users and the Platform.

7. Payments, Wallet, and Transactions

7.1 RAVEON Wallet

The Platform provides a digital Wallet that enables Users to store funds and conduct transactions within the Platform. Funds in the Wallet may be used for orders, bookings, Coins purchases, tipping, and other Services. The Wallet does not constitute a bank account unless explicitly stated. RAVEON may impose limits on Wallet balances, transactions, and usage in accordance with Applicable Law and internal risk controls.

7.2 Supported Payment Methods

RAVEON supports multiple payment methods, which may include mobile money services (e.g., M-Pesa or equivalent), debit and credit cards, third-party payment gateways, and Wallet balance and Coins. Availability of payment methods may vary based on location, device, and regulatory requirements.

7.3 Transaction Processing

By initiating a transaction on the Platform, you authorize RAVEON and its payment partners to process payments on your behalf, deduct funds from your selected payment method or Wallet, and complete transactions with the relevant Venue or Service Provider. All transactions are considered final and binding once confirmed, except where refunds are expressly permitted under these Terms or Applicable Law.

7.4 Fees and Charges

Certain transactions may be subject to service fees, processing fees, or platform commissions. All applicable fees will be disclosed prior to transaction confirmation where required. You are responsible for any taxes, levies, or regulatory charges associated with your transactions. RAVEON reserves the right to introduce or modify fees at any time, subject to notice where required.

7.5 Refunds and Chargebacks

Refunds may be issued under specific conditions, including failed or incomplete transactions, non-fulfillment of services by a Venue, and system errors or duplicate charges. Refunds may be processed back to the original payment method or Wallet. You agree not to initiate unjustified chargebacks or payment reversals. Fraudulent or abusive refund requests may result in Account suspension.

7.6 Failed and Reversed Transactions

In the event of a failed or reversed transaction, RAVEON may re-attempt processing or reverse Wallet credits/debits accordingly. You remain responsible for any outstanding amounts owed. Access to certain features may be restricted until payment issues are resolved.

7.7 Fraud Prevention and Monitoring

RAVEON implements fraud detection and risk management measures, including transaction monitoring and anomaly detection, identity verification requirements, and temporary holds or restrictions on suspicious transactions. RAVEON reserves the right to block or cancel transactions suspected of fraud or unauthorized activity and to request additional verification before processing transactions.

7.8 Third-Party Payment Providers

Payments may be processed through third-party providers who operate under their own terms and policies. RAVEON is not responsible for delays, errors, or failures caused by third-party systems.

7.9 No Guarantee of Value Stability

Funds, Coins, or credits held within the Platform do not earn interest, are not insured unless required by Applicable Law, and may be subject to usage restrictions or expiration as defined in applicable sections.

8. Coins, Digital Credits, and In-App Currency

8.1 Purchase of Coins

RAVEON may offer virtual in-app currency ("Coins") that Users can purchase through the Platform. All Coin purchases are final and non-refundable, except where required by Applicable Law. RAVEON reserves the right to modify pricing, packages, or availability of Coins at any time.

8.2 Usage of Coins

Coins may be used within the Platform for tipping Staff, DJs, and Service Providers; paying for selected services or experiences; and accessing premium features or exclusive interactions. Coins have no cash value outside the Platform and cannot be redeemed for cash unless explicitly permitted by RAVEON.

8.3 Expiry and Validity

RAVEON may impose validity periods on Coins. Expiry terms, if applicable, will be disclosed at the time of purchase or issuance. Expired Coins will be automatically forfeited without compensation. Users are responsible for monitoring and using Coins before expiration.

8.4 Non-Transferability

Coins are non-transferable between Users unless explicitly enabled by Platform features, and are linked to a specific Account and cannot be sold, assigned, or otherwise transferred outside the Platform. Any unauthorized transfer or attempted sale of Coins is strictly prohibited.

8.5 Promotional Credits and Rewards

RAVEON may issue promotional Coins or credits as part of marketing campaigns, loyalty programs, or incentives. These are subject to specific terms, restrictions, and expiry conditions, and may be revoked if obtained through misuse or fraud.

8.6 Fraud, Abuse, and Misuse

You agree not to exploit system errors to obtain free or excess Coins, use fraudulent payment methods to acquire Coins, or manipulate tipping or reward systems for unfair advantage. RAVEON reserves the right to reverse Coin balances obtained through fraud or error, suspend or terminate Accounts involved in misuse, and take legal action where necessary.

8.7 Adjustments and Corrections

RAVEON may adjust Coin balances where there are system errors or technical issues, transactions fail or are reversed, or fraudulent activity is detected. Such adjustments may be made without prior notice where required to protect Platform integrity.

8.8 No Guarantee of Continuous Availability

RAVEON does not guarantee that Coins or related features will always be available. Coin functionality may be modified, suspended, or discontinued at any time. Where feasible, reasonable notice will be provided for material changes.

9. Group Payments and Bill Splitting

9.1 Shared Payments

The Platform allows Users to initiate and participate in Group Payments for shared expenses. A User ("Initiator") may create a shared bill and invite other Users to contribute. Each participating User is responsible only for their allocated portion, unless otherwise agreed.

9.2 Payment Responsibilities

By participating in a Group Payment, you agree that you are responsible for paying your assigned share in full and on time, your payment obligation is independent of other participants' actions, and the Initiator may be held responsible for any unpaid balance, depending on the payment structure. RAVEON does not guarantee that all participants will fulfill their payment obligations.

9.3 Payment Completion and Settlement

A Group Payment is considered complete when all participating Users have paid their respective shares, or the outstanding balance has been settled by the Initiator or another User. Venues and Service Providers may proceed with service delivery based on partial or full payment confirmation.

9.4 Failed or Incomplete Payments

In the event that one or more participants fail to complete their payment, the remaining balance may be reassigned to the Initiator or other Users, and access to services or bookings may be denied or revoked. RAVEON may restrict future Group Payment access for Users with repeated failures.

9.5 Disputes Between Users

Group Payment arrangements are made between Users. RAVEON is not responsible for disputes regarding payment shares, fairness, or agreements between participants. Users are encouraged to resolve disputes directly. RAVEON may, at its discretion, provide transaction records to assist resolution and restrict or suspend Accounts involved in abusive or fraudulent behavior.

9.6 Fraud Prevention and Abuse Controls

You shall not manipulate Group Payments to avoid payment obligations, use fake or duplicate Accounts to distribute costs unfairly, or exploit system loopholes in bill splitting. RAVEON reserves the right to reverse transactions associated with fraudulent activity and suspend or terminate Accounts involved in abuse.

9.7 Platform Limitation of Liability

RAVEON acts solely as a facilitator of Group Payments. RAVEON does not guarantee payment collection from participants and shall not be liable for unpaid balances, disputes, or losses arising from Group Payment arrangements.

10. Tipping and Digital Gratuities

10.1 Voluntary Tipping

The Platform enables Users to provide voluntary tips to Staff and Service Providers. All tips are given at the sole discretion of the User. Tipping is not mandatory and does not replace standard service charges unless explicitly stated. Tips may be made using Wallet funds, Coins, or other supported payment methods.

10.2 Allocation and Distribution

Tips made through the Platform are allocated to the intended recipient as specified by the User. Distribution of tips may be subject to internal arrangements between Venues and their Staff. RAVEON may facilitate tracking and reporting of tips for transparency purposes but does not control how Venues distribute tips among their Staff unless otherwise specified.

10.3 Processing and Settlement

Tips are processed as part of Platform transactions and may be subject to standard processing timelines. Settlement of tips to Staff or Service Providers may occur periodically based on Venue or Platform payout schedules. Users acknowledge that tipping transactions are final once confirmed.

10.4 Fees and Deductions

RAVEON may apply platform or processing fees to tipping transactions, where applicable. Any applicable fees will be disclosed prior to confirmation where required. Net amounts received by Staff may be subject to such deductions and/or Venue policies.

10.5 Refunds and Reversals

Tips are generally non-refundable, except in limited circumstances such as duplicate transactions, system errors, or fraudulent or unauthorized activity. Refund decisions are made at RAVEON's sole discretion, subject to Applicable Law.

10.6 Prohibited Use of Tipping

You agree not to use tipping to facilitate illegal, inappropriate, or coercive activity, manipulate tipping systems for fraudulent gain, or circumvent Platform payment systems by offering off-platform payments. RAVEON reserves the right to reverse suspicious tipping transactions and suspend or terminate Accounts involved in misuse.

10.7 No Employment Relationship

Tipping through the Platform does not create any employment, agency, or contractual relationship between Users and Staff. Staff remain employees or representatives of the Venue or independent providers. RAVEON acts solely as a facilitator of digital gratuities.

11. Bookings, Reservations, and Event Access

11.1 Table Bookings

The Platform allows Users to make advance table reservations at participating Venues. Users must review all booking details, including pricing, minimum spend, and time slots before confirmation. A Booking is only confirmed once payment (full or deposit) is successfully processed. Venues reserve the right to enforce their own entry and seating policies.

11.2 Private Sections and VIP Access

Certain Venues may offer premium access options including VIP tables or lounges, private rooms or sections, and bottle service or exclusive packages. Such bookings may be subject to higher pricing, minimum spend, and stricter policies. Access may be denied if Venue rules are not followed, including dress code or conduct requirements.

11.3 Event Tickets and Digital Passes

The Platform may issue Digital Passes for events, which serve as electronic proof of access. Digital Passes must be presented upon entry (QR code or equivalent). Each pass is valid only for the specified event, date, and User. Unauthorized duplication, resale, or transfer is prohibited unless explicitly allowed. Venues and event organizers control final admission decisions.

11.4 Booking Confirmation and Entry

Users are responsible for arriving at the Venue within the allocated time, presenting valid identification if required, and complying with Venue entry requirements. Venues may cancel or release Bookings if Users fail to arrive within a reasonable time and may deny entry for security, safety, or legal reasons. No guarantee of entry is provided if Venue conditions are not met.

11.5 Cancellations and Modifications

Booking cancellation and modification policies are determined by the Venue. Users must review cancellation terms before confirming a Booking. Some Bookings may be non-refundable or subject to cancellation fees. RAVEON is not responsible for Venue-specific cancellation policies.

11.6 Refund Policy for Bookings and Events

Refunds for Bookings or event access may be issued only where the Venue cancels the Booking or event, there is a system error or duplicate charge, or required by Applicable Law. Refunds may be processed to the original payment method or Wallet and are subject to processing timelines.

11.7 Overbooking and Service Limitations

RAVEON does not guarantee availability of tables, sections, or events. Venues are responsible for capacity management. In cases of overbooking or service failure, resolution is handled by the Venue. RAVEON may assist with dispute resolution but is not liable for such occurrences.

11.8 Platform Role and Limitation of Liability

RAVEON acts solely as a facilitator of Bookings and event access. RAVEON does not own or operate Venues or events and is not responsible for denial of entry, service quality, or event execution. All obligations relating to the physical experience lie with the Venue or event organizer.

12. Loyalty Points and Rewards Program

12.1 Earning Loyalty Points

RAVEON may offer a loyalty program through which Users can earn points ("Loyalty Points") based on their activity on the Platform, including transactions, participation in promotions or campaigns, and engagement with Platform features. The rate and criteria for earning Loyalty Points may vary and are subject to change at RAVEON's discretion.

12.2 Redemption of Loyalty Points

Loyalty Points may be redeemed for discounts on bookings or services, access to exclusive offers or experiences, or conversion into Coins or other in-app benefits where applicable. Loyalty Points cannot be exchanged for cash unless explicitly stated and must be used in accordance with applicable redemption rules.

12.3 Expiry and Validity

Loyalty Points may have a defined validity period. Expiry terms will be communicated at the time of issuance or within the Platform. Expired Loyalty Points will be automatically forfeited without compensation. Users are responsible for monitoring and utilizing their Loyalty Points before expiration.

12.4 Non-Transferability

Loyalty Points are personal to the User Account under which they are earned, are non-transferable and may not be sold, assigned, or shared. Any unauthorized transfer or misuse may result in forfeiture.

12.5 Promotional Rewards and Campaigns

RAVEON may introduce time-limited promotions, bonuses, or reward campaigns. Each promotion will be governed by its own terms and conditions. RAVEON reserves the right to modify or withdraw promotions at any time without prior notice.

12.6 Suspension and Forfeiture

RAVEON reserves the right to suspend, revoke, or adjust Loyalty Points where points are earned through fraudulent or abusive activity, there is a breach of these Terms, or an Account is suspended or terminated. Forfeited Loyalty Points will not be reinstated unless required by Applicable Law.

12.7 Program Modifications and Termination

RAVEON may, at its sole discretion, modify the structure, benefits, or rules of the loyalty program or suspend or terminate the program entirely. Where feasible, reasonable notice will be provided for material changes.

13. Content, Posts, and Social Interactions

13.1 User-Generated Content

The Platform allows Users to create, upload, and share Content. By submitting Content on the Platform, you represent and warrant that you own or have the necessary rights to use and share such Content, grant RAVEON a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute such Content for purposes of operating, improving, and promoting the Platform, and acknowledge that your Content may be visible to other Users within the Platform. You remain responsible for all Content you post.

13.2 Live Feed and Engagement

RAVEON may provide real-time or near real-time feeds within Venues or events. Content posted in live feeds must be appropriate for a public or semi-public environment. RAVEON may apply moderation controls, filters, or visibility restrictions.

13.3 User Connections and Messaging

The Platform may enable Users to send connection requests, communicate through messaging features, and discover and connect with other Users. You agree to respect the privacy and consent of other Users and not misuse communication features for spam, harassment, or solicitation. RAVEON does not guarantee the identity or intentions of Users and is not responsible for off-platform interactions.

13.4 Content Standards

You agree not to post or share Content that is illegal, harmful, defamatory, or misleading; promotes violence, hate speech, harassment, or discrimination; contains explicit, obscene, or inappropriate material; infringes on intellectual property or privacy rights; or promotes illegal activities, substances, or services.

13.5 Content Moderation and Removal

RAVEON reserves the right to monitor Content posted on the Platform, remove or restrict Content that violates these Terms or Applicable Law, and suspend or terminate Accounts responsible for repeated violations. Moderation actions may be taken without prior notice.

13.6 Reporting and Enforcement

Users may report Content or behavior that violates these Terms. RAVEON may investigate reported Content or interactions, take appropriate enforcement actions including warnings, removals, or suspensions, and cooperate with law enforcement where required.

13.7 No Guarantee of Content Accuracy or Availability

RAVEON does not guarantee that Content posted by Users is accurate, reliable, or appropriate, or that Content will remain available or accessible at all times. Users interact with Content at their own risk.

14. Prohibited Activities

14.1 General Prohibition

You agree not to use the Platform in any manner that is unlawful, fraudulent, abusive, or harmful to RAVEON, its Users, Venues, Service Providers, or any third party. Any violation of this Section may result in immediate suspension or termination of your Account and possible legal action.

14.2 Illegal Activities

  • Engage in any activity that violates Applicable Law
  • Facilitate the sale or distribution of illegal goods or substances
  • Promote or participate in criminal activities
  • Circumvent legal restrictions, including age or licensing requirements

14.3 Harassment, Abuse, and Harmful Conduct

  • Harass, threaten, intimidate, or abuse other Users, Staff, or Venues
  • Engage in hate speech, discrimination, or incitement of violence
  • Share content that is harmful, offensive, or disruptive to others

14.4 Fraud and Financial Misconduct

  • Use stolen or unauthorized payment methods
  • Engage in chargeback abuse or fraudulent refund requests
  • Manipulate Wallet, Coins, tipping, or payment systems
  • Create fake Accounts to exploit financial features

14.5 Platform Abuse and Exploitation

  • Attempt to gain unauthorized access to systems, Accounts, or data
  • Interfere with the Platform's operation, servers, or networks
  • Use bots, scripts, or automated tools to exploit the Platform
  • Reverse engineer, copy, or extract Platform data without authorization

14.6 Misuse of Social and Content Features

  • Post spam, misleading, or deceptive Content
  • Impersonate another person or entity
  • Use the Platform for unsolicited advertising or promotions
  • Share false information that may harm others or the Platform

14.7 Unauthorized Commercial Use

  • Use the Platform for unauthorized commercial purposes
  • Resell access to services, bookings, or Digital Passes without permission
  • Exploit Platform features for personal gain in violation of these Terms

14.8 Consequences of Violations

If you engage in any prohibited activity, RAVEON may, at its sole discretion, issue warnings, restrict or suspend your Account, terminate your Account permanently, reverse transactions or forfeit balances, take legal action, or report to authorities.

15. Intellectual Property Rights

15.1 Platform Ownership

All rights, title, and interest in and to the Platform, including software, source code and architecture, design, layout and user interface, logos, trademarks, trade names, and branding, and databases, analytics, and underlying technology, are the exclusive property of RAVEON or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of any part of the Platform.

15.2 Limited License to Use the Platform

RAVEON grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes in accordance with these Terms. You may not copy, reproduce, or distribute any part of the Platform; modify, adapt, or create derivative works; or use the Platform for unauthorized commercial purposes.

15.3 Trademarks and Branding

All RAVEON trademarks, logos, and brand elements are owned by RAVEON. You may not use, copy, or reproduce them without prior written consent. Unauthorized use may result in legal action.

15.4 User Content License

By submitting Content to the Platform, you grant RAVEON a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to use, host, reproduce, distribute, display, and create derivative works of such Content for purposes including operating and improving the Platform, marketing and promotional activities, and analytics and service optimization. This license remains valid for as long as your Content is available on the Platform, subject to Applicable Law.

15.5 Responsibility for Content

You retain ownership of your Content but are solely responsible for ensuring that you have the necessary rights to share it and that it does not infringe the rights of any third party. RAVEON shall not be liable for claims arising from user-submitted Content.

15.6 Third-Party Intellectual Property

The Platform may include content, services, or materials owned by third parties. Such content remains the property of its respective owners. Your use of third-party content may be subject to additional terms. RAVEON does not grant you rights to third-party intellectual property beyond what is necessary to use the Platform.

15.7 Reporting Intellectual Property Violations

If you believe that any Content on the Platform infringes your intellectual property rights, you may submit a notice to RAVEON including identification of the allegedly infringing material, proof of ownership or authorization, and contact information for follow-up. RAVEON may remove or restrict access to infringing Content upon verification.

16. Data Privacy and Protection

16.1 Data Collection and Use

RAVEON collects, processes, and uses personal data in order to provide and operate the Platform and Services, process transactions and manage Wallet functionality, facilitate bookings, payments, and social interactions, improve user experience, analytics, and system performance, and ensure security, fraud prevention, and regulatory compliance. All data processing is conducted in accordance with Applicable Law.

16.2 Legal Basis for Processing

RAVEON processes personal data based on user consent (where required), performance of a contract (these Terms), compliance with legal and regulatory obligations, and legitimate business interests including security and service improvement. By using the Platform, you consent to such processing where applicable.

16.3 Data Sharing and Disclosure

RAVEON may share data with Venues and Service Providers (to fulfill bookings and services), payment processors and financial institutions, identity verification and fraud prevention partners, and regulatory authorities or law enforcement where required by law. RAVEON does not sell personal data to third parties.

16.4 Data Storage and Security

RAVEON implements appropriate technical and organizational measures to protect personal data, including encryption and secure data transmission, access controls and authentication mechanisms, and monitoring for unauthorized access or breaches. While RAVEON takes reasonable measures, no system is completely secure.

16.5 Data Retention

Personal data will be retained only for as long as necessary to fulfill the purposes outlined in these Terms, comply with legal, regulatory, and audit requirements, and resolve disputes and enforce agreements. Data may be anonymized or securely deleted after retention periods expire.

16.6 User Rights

Subject to Applicable Law, Users may have rights to access their personal data, request correction or deletion of inaccurate data, object to or restrict certain processing activities, and withdraw consent where processing is based on consent. Requests may be submitted through designated support channels.

16.7 Cross-Border Data Transfers

RAVEON may store or process data in jurisdictions outside the User's location. Such transfers will be conducted in compliance with Applicable Law, and appropriate safeguards will be implemented to protect data.

16.8 Cookies and Tracking Technologies

The Platform may use cookies and similar technologies to enhance user experience, analyze usage patterns, and support authentication and session management. Users may manage cookie preferences through their device or browser settings.

16.9 Reference to Privacy Policy

This Section should be read together with the RAVEON Privacy Policy, which provides detailed information on how personal data is handled. In the event of any conflict, the Privacy Policy shall govern matters specifically related to data protection.

17. Safety, Risk, and Liability in Nightlife Environments

17.1 Assumption of Risk

By using the Platform to access Venues, events, and related services, you acknowledge that nightlife environments may involve inherent risks, including crowded spaces and physical movement, loud music, lighting effects, and limited visibility, interaction with other individuals, and consumption of alcohol or other substances. You voluntarily assume all risks associated with attending such environments.

17.2 Personal Responsibility

You are solely responsible for your behavior and conduct while using the Platform and attending Venues, making responsible decisions regarding alcohol consumption, ensuring your personal safety and the safety of others, and safeguarding your personal belongings. RAVEON does not monitor or control physical environments and cannot guarantee your safety at any Venue or event.

17.3 Compliance with Venue Safety Measures

You agree to comply with all safety and security measures implemented by Venues, including entry requirements and identity verification, crowd control and capacity limits, and emergency procedures and instructions from staff or security personnel.

17.4 Third-Party Venue Liability

Venues and event organizers are independent third parties responsible for maintaining safe premises, providing adequate security and crowd management, and complying with health and safety regulations. RAVEON does not own, operate, or control Venues and shall not be liable for injuries, accidents, or incidents occurring at Venues, actions or omissions of Venue staff, security, or other patrons, or loss or damage to personal property.

17.5 Alcohol and Substance Use

Where alcohol or regulated substances are involved, you must comply with all Applicable Laws and age restrictions, you are responsible for consuming responsibly, and Venues are responsible for enforcing service regulations. RAVEON does not provide, distribute, or control the sale of alcohol or substances.

17.6 Emergency Situations

In case of emergency, you must follow instructions from Venue staff, security, or emergency responders. RAVEON does not provide emergency services or real-time physical intervention. The Platform may provide informational tools but does not replace official emergency services.

17.7 Limitation of Platform Responsibility

To the fullest extent permitted by Applicable Law, RAVEON shall not be responsible for any personal injury, harm, loss, or damage arising from your presence at a Venue or participation in events. RAVEON's role is limited to facilitating digital interactions and services.

18. Platform Availability and Technical Limitations

18.1 Service Availability

RAVEON endeavors to provide continuous and reliable access to the Platform; however, availability is not guaranteed. Access may be interrupted, delayed, or limited due to technical issues, maintenance, or external factors. Certain features may not be available in all locations or at all Venues.

18.2 Maintenance and Updates

RAVEON may perform scheduled or unscheduled maintenance, updates, or upgrades. Such activities may result in temporary unavailability of the Platform or specific features. Where feasible, RAVEON will provide prior notice of scheduled maintenance. Emergency maintenance may occur without prior notice.

18.3 Technical Limitations

The Platform is provided on an "as available" and "as is" basis. Technical issues such as bugs, errors, or system delays may occur. Performance may vary based on device compatibility, operating system, and internet connectivity. RAVEON does not guarantee that the Platform will be error-free or uninterrupted.

18.4 Dependency on Third-Party Systems

Certain Platform functionalities rely on third-party systems, including payment gateways and financial networks, mobile network operators and internet providers, and identity verification and external APIs. RAVEON is not responsible for failures, delays, or disruptions caused by such third-party systems.

18.5 Feature Modifications and Discontinuation

RAVEON reserves the right to add, modify, suspend, or discontinue any feature or Service at any time, and to restrict access to certain features based on location, user role, or compliance requirements. Where feasible, reasonable notice will be provided for significant changes.

18.6 No Guarantee of Compatibility

RAVEON does not guarantee that the Platform will be compatible with all devices, operating systems, or software configurations. Users are responsible for ensuring that their devices meet the necessary technical requirements.

19. Suspension and Termination of Accounts

19.1 Grounds for Suspension

RAVEON reserves the right to restrict or suspend your Account, temporarily or permanently, where you breach any provision of these Terms, you provide false, misleading, or incomplete information, there is suspected fraud, unauthorized activity, or security risk, you engage in prohibited activities, or there are repeated complaints or violations involving your conduct.

19.2 Immediate Suspension for Risk or Harm

RAVEON may suspend an Account without prior notice where necessary to protect the security and integrity of the Platform, prevent fraud, financial loss, or illegal activity, or safeguard other Users, Venues, or Service Providers. Such suspension may remain in effect pending investigation.

19.3 User-Initiated Termination

You may terminate your Account at any time by following account closure procedures within the Platform or contacting RAVEON support. Upon termination, access to the Platform will be revoked, and any unused Wallet balances, Coins, or Loyalty Points will be handled in accordance with applicable sections of these Terms.

19.4 Termination by RAVEON

RAVEON may terminate your Account at its sole discretion where there is a material or repeated breach of these Terms, your Account poses a risk to the Platform or other Users, or required by Applicable Law or regulatory authorities. Termination may occur with or without prior notice, depending on the circumstances.

19.5 Effects of Suspension or Termination

Upon suspension or termination, your right to access and use the Platform will cease immediately. Pending transactions may be canceled or completed at RAVEON's discretion. Access to Content, bookings, or services may be revoked. RAVEON may retain relevant data as required for legal, regulatory, or operational purposes.

19.6 Financial Obligations

Termination or suspension does not relieve you of any outstanding obligations. You remain liable for any unpaid amounts, fees, or charges incurred prior to termination. RAVEON may recover outstanding balances through lawful means.

19.7 Reinstatement of Accounts

Reinstatement of suspended Accounts may be granted at RAVEON's sole discretion, subject to completion of verification or corrective actions and resolution of outstanding issues or violations. RAVEON is under no obligation to reinstate any Account.

19.8 Abuse of Account Actions

You shall not attempt to circumvent suspension or termination by creating new Accounts, or use another User's Account to regain access. Such actions may result in further enforcement measures, including permanent bans.

20. Disclaimers and Limitation of Liability

20.1 Service Disclaimer

The Platform and all Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by Applicable Law, RAVEON makes no representations or warranties of any kind, whether express or implied, disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement, and does not guarantee that the Platform will be uninterrupted, secure, or error-free. Your use of the Platform is at your sole risk.

20.2 No Warranty on Third-Party Services

RAVEON does not warrant or guarantee the quality, safety, or legality of services provided by Venues or Service Providers, the accuracy of information provided by third parties, or the behavior or conduct of Users, Staff, or Venues. All third-party services are provided independently of RAVEON.

20.3 Limitation of Liability

To the fullest extent permitted by Applicable Law, RAVEON and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, or special damages; loss of profits, revenue, data, or business opportunities; personal injury, property damage, or loss arising from Venue-related incidents; or losses resulting from user interactions or third-party actions.

20.4 Financial and Transaction Risks

RAVEON shall not be liable for failed, delayed, or incorrect transactions caused by third-party payment providers; unauthorized access resulting from User negligence; or loss of funds due to fraud, phishing, or external attacks beyond RAVEON's control. Users are responsible for safeguarding their Accounts and transaction activities.

20.5 Maximum Liability Cap

To the extent permitted by Applicable Law, RAVEON's total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the total amount paid by you to RAVEON within the three (3) months preceding the event giving rise to the claim, or the minimum amount required under Applicable Law, whichever is higher.

21. Indemnification

21.1 User Indemnity

You agree to indemnify, defend, and hold harmless RAVEON and its affiliates, directors, officers, employees, agents, and partners from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use or misuse of the Platform, your breach of these Terms, your violation of any Applicable Law or regulation, your infringement of any rights of a third party, any Content you submit, post, or share on the Platform, or any transactions, disputes, or interactions with other Users, Venues, or Service Providers. This obligation shall survive termination or suspension of your Account.

21.2 Venue and Service Provider Indemnity

Venues and Service Providers agree to indemnify and hold harmless RAVEON from and against any claims, liabilities, damages, or expenses arising from failure to deliver services as promised, breach of applicable laws, licenses, or regulations, negligence, misconduct, or wrongful acts by Venue staff or representatives, or disputes with Users relating to services, pricing, or bookings.

21.3 Defense and Cooperation

RAVEON reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with RAVEON in the defense of such claims and not to settle any claim without prior written consent from RAVEON.

22. Dispute Resolution

22.1 Internal Resolution

In the event of any dispute, claim, or disagreement arising out of or in connection with these Terms or the use of the Platform, you agree to first attempt to resolve the matter directly with RAVEON. Disputes should be submitted through official support or legal contact channels. RAVEON will make reasonable efforts to investigate and respond within a reasonable timeframe. Both parties agree to act in good faith to reach an amicable resolution.

22.2 Disputes Between Users, Venues, and Service Providers

Disputes that arise between Users, Venues, and Service Providers in relation to services, payments, or interactions are primarily the responsibility of the involved parties. RAVEON may, at its discretion, provide support, mediation, or access to transaction records. RAVEON is not obligated to resolve such disputes and shall not be liable for outcomes.

22.3 Escalation to Formal Proceedings

If a dispute cannot be resolved through internal resolution, either party may pursue formal legal remedies in accordance with Applicable Law.

22.4 Arbitration (Optional Clause)

Where permitted under Applicable Law, disputes may be resolved through binding arbitration as an alternative to court proceedings. Arbitration shall be conducted by a recognized arbitration body in Kenya, proceedings shall be conducted in English, and the decision of the arbitrator shall be final and binding. This clause does not prevent either party from seeking interim or injunctive relief from a competent court.

22.5 Jurisdiction

Subject to the arbitration clause (where applicable), all disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Kenya.

22.6 Limitation Period

Any claim arising out of or relating to these Terms must be brought within the time limits prescribed by Applicable Law.

22.7 Continued Performance

During the resolution of any dispute, you agree to continue complying with these Terms, and RAVEON may continue to provide Services, except where suspension or restriction is necessary.

23. Governing Law

23.1 Applicable Law

These Terms, and any dispute, claim, or controversy arising out of or in connection with them or the use of the Platform, shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

23.2 Compliance with Local Laws

You agree that your use of the Platform must comply with all Applicable Laws within your jurisdiction. Where you access the Platform from outside Kenya, you are responsible for compliance with local laws applicable in that jurisdiction. RAVEON makes no representation that the Platform or its Services are appropriate or lawful for use in all jurisdictions.

23.3 Regulatory Compliance

RAVEON may take any action it deems necessary to comply with legal and regulatory obligations, including restricting or suspending access to the Platform in certain jurisdictions, monitoring and reporting activities as required by law, and enforcing compliance measures related to financial transactions, identity verification, and data protection.

23.4 Severability Under Law

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under Applicable Law, that provision shall be deemed severed or modified to the minimum extent necessary, and the remaining provisions shall remain valid and enforceable.

23.5 Prevailing Language

These Terms are drafted in English, which shall be the governing language for interpretation. Any translations provided are for convenience only. In the event of inconsistency, the English version shall prevail.

24. Amendments and Updates to Terms

24.1 Modification Rights

RAVEON reserves the right to modify, revise, or update these Terms at any time, at its sole discretion. Changes may be made to reflect updates in Services, legal requirements, or business operations. Updated Terms will be published on the Platform with a revised effective date.

24.2 Notification of Changes

Where required by Applicable Law or for material changes, RAVEON will provide notice through in-app notifications, email communication, and platform announcements. It is your responsibility to ensure your contact details are up to date and to review notifications.

24.3 Acceptance of Updated Terms

Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with any updates, you must discontinue use of the Platform immediately and may terminate your Account in accordance with these Terms.

24.4 Immediate Effect

Unless otherwise stated, updates to these Terms take effect immediately upon publication. Continued access or use of the Platform signifies agreement to the updated Terms.

24.5 Historical Versions

RAVEON may, at its discretion, maintain records of previous versions of these Terms. Prior versions may be made available upon request or through the Platform. Historical versions are provided for reference only and do not govern current use.

RAVEON will make reasonable efforts to respond within a reasonable timeframe.

For legal notices, disputes, or compliance-related matters, you may contact RAVEON at legal@raveon.com (or designated legal contact provided on the Platform). All legal communications must include your full name and contact details, a clear description of the issue or claim, and supporting documentation where applicable.

25.3 Reporting Violations and Abuse

To report violations of these Terms, misconduct, fraud, or inappropriate Content, Users may use in-app reporting features or submit a report via official support channels. RAVEON may investigate and take appropriate action in accordance with these Terms.

25.4 Business and Partnership Inquiries

For Venue onboarding, partnerships, or business-related inquiries, contact details will be provided through the Platform's business or partnership section.

25.5 Notices from RAVEON

RAVEON may communicate with you through in-app notifications, email, and SMS or other contact details provided by you. Such communications shall be deemed effective upon delivery.
